1. Who we are and how these terms apply
ForwardCanon LLC is a Colorado limited liability company. These Terms govern the ForwardCanon services you agree to receive from us, including an invited pilot, an enabled product subscription, or separately agreed human services. “You” means the person accepting these Terms or the organization that person is authorized to represent.

You must be at least 18 and able to enter a binding agreement to receive services. If you act for an organization, you must have authority for the agreement and for the information and access you provide. An employee's individual participation does not authorize us to act for their employer.
We will provide these Terms before asking you to accept them through an enabled signup process or written pilot/service agreement. Merely browsing the website, trying a preview, or receiving an invitation does not create a paid subscription or authorize a charge. The Privacy Policy explains how we handle personal information; acknowledging it is not blanket consent to every possible use of data.
2. Current availability and agreed scope
ForwardCanon is in an early, founder-led stage. The public website explains the product and includes previews. Screens identified as previews do not themselves create working accounts, connect agents, charge payments, or deliver inquiries. Where real account creation is enabled, it establishes your verified identity and account records; it does not by itself connect repositories or agents, provide paid product access, or start a subscription. Unavailable capabilities remain identified as such. Contact us directly to arrange actual work.
Pilot participation is individually accepted by ForwardCanon. Before work begins, we will agree in writing on the capabilities available to you, fees if any, sources and access involved, manual responsibilities, and material limitations. A public description, example, roadmap, or displayed price is not a promise that an unfinished capability is available.
An accepted order or statement of work may define specific scope, deliverables, timing, and commercial terms. It overrides these Terms only where it expressly identifies a different term. It does not silently authorize additional use of personal information or override rights that applicable law protects.
3. What ForwardCanon does
ForwardCanon helps make context, sources, responsibilities, decisions, and operating reality explicit and maintainable for people and AI. Personal Canon is the foundation for each participant. Shared Canon adds authorized collaboration. Canon View provides a visual representation. Business Control adds the Demand, Supply, Supply Optimization, and Profit Management method. Only capabilities included in your agreed scope are supplied.
When the corresponding hosted service is enabled, the standard included storage is 5 GB for each individual's private Canon scope and 25 GB pooled for each Shared Canon workspace, separate from members' private allowances. These are active stored-data allowances, not monthly upload credits. ForwardCanon-managed backups and routine system history do not consume them. We notify the authorized account holder or workspace administrator at 80% and 95% usage. At capacity, we may pause uploads or writes that increase stored data while preserving permitted reads, exports, deletions, and essential security operations. Additional capacity requires a disclosed offer and your acceptance; we do not silently delete Canon or impose automatic undisclosed overage charges. An accepted scope may expressly provide different storage. These controls are being implemented and are not activated by a website preview.
When included in your agreed and enabled service, an agent requesting Canon access in Git enters through ForwardCanon's Boot Git identity-verification process. Boot Git provides identity-verification/bootstrap material and ForwardCanon's agent principles before your repository-specific needs and roles are loaded. Your Canon and curated roles remain in the destination repository. After verifying the accessing identity and its authorization for the requested repository, the service permits access to the relevant curated identity, roles, and content within the agreed scope. In shared workspaces, authorized administrators specify security rules and ForwardCanon enforces the supported rules on the access and operations it controls. Users and administrators may configure policies within their permitted scope but may not modify, disable, or bypass ForwardCanon's verification and enforcement mechanism. This process applies to Canon access through the managed service, not every chat prompt or independently granted source access. These continuing services are separate from the records and deliverables you may retain.
ForwardCanon is not a foundation-model provider. Supported AI services, source systems, and integrations may require separate accounts, subscriptions, and acceptance of their own terms. We do not guarantee compatibility with every provider, plan, or future platform change. We will identify material support limitations affecting your agreed service.
4. Accounts, access, and agent authority
When accounts or connections are enabled, provide accurate information, use the required security controls, protect your credentials, and notify us promptly of suspected unauthorized access. We will not ask you to put passwords, recovery codes, private keys, or equivalent secrets into ordinary chat. Use the supported secure authorization process.
You decide what authorized sources to connect and what actions to delegate. Viewing, editing, exporting, approving, administering, and taking external actions are separate permissions. A user's technical access does not prove organizational authority, and an agent does not automatically inherit all actions its user could perform.
ForwardCanon personnel and agents may act only within the service scope and delegated authority. Material changes to access or consequential actions require the approval specified for that action. An agent cannot expand its own permissions or bind ForwardCanon to a new commercial commitment.
For an early pilot, we will identify supported controls and manual approval steps before granting access. If a needed restriction cannot be enforced, we will narrow or pause the affected operation. Policy text alone is not a security control. You can request revocation by email and revoke access through the relevant connected provider; stopping access does not undo actions already completed.
5. Your content and shared work
You retain your existing rights in the information, files, and Canon you provide. You must have permission to supply that material and to authorize its use. ForwardCanon does not acquire ownership of your business or personal records because it helps organize them.
You grant us permission to access, process, store, copy, and present your content only as reasonably needed to deliver and secure the agreed service, follow your authorized instructions, and meet applicable legal obligations. This permission does not authorize selling your private content, using it for targeted advertising, or licensing it for general-purpose AI model training. Any separate use needs separate permission.
Joining a workspace does not automatically give its administrator access to private Personal Canon. Content deliberately contributed to an organizational workspace is subject to that organization's lawful authority and the agreed sharing rules. Leaving a workspace can end your access to shared records; it does not automatically delete the organization's records or transfer your private Personal Canon to it. Existing employment, confidentiality, and ownership obligations still apply.
As between you and ForwardCanon, the customer-specific work your agent creates and saves as customer Canon is yours, including the supporting data, records, documents, and customer-specific code in that Canon. You may retain, export, and use that material after the service ends, subject to your organization's rights and any existing third-party rights. To the extent ForwardCanon holds rights in that customer-specific work, we assign those rights to you. This does not create rights that do not otherwise exist or transfer another party's rights.
Product access is separate. ForwardCanon retains its rights in its pre-existing software, brand, tools, private service implementation, and product-specific configuration. Canon View, including its renderer, layouts, view configuration, and presentation curation, is available only while the corresponding entitlement is active; cancellation does not provide a continuing license, standalone copy, or export of those product artifacts. The customer-owned supporting data in Canon remains yours even when Canon View displays it. We distinguish customer Canon from product configuration so using a view does not reclassify your underlying records as our property.
Any pre-existing licensed component intentionally delivered for use in customer Canon must have its applicable license identified. Custom human-engineering deliverables and any broader software/source-code handoff are addressed in the accepted statement of work. This paragraph does not silently grant continued use of ForwardCanon's hosted products or override third-party licenses.
Organizational scope and responsibility
When organizational service is enabled, an individual's work area within that organization and the organization's shared Canon are organizational scopes. An individual work area can hold drafts, assigned work, and unfinished records without making them authoritative or visible to every team member. Authorized organizational administrators may retain and reassign those records within the disclosed access rules, applicable law, and existing rights. A separate private Personal Canon remains outside that scope. Paying for a seat, inviting a person, or controlling an email domain does not by itself transfer private Canon or authorize access to it.
Organizations are responsible for identifying where their work must be recorded, communicating those requirements to employees and contractors, obtaining necessary permissions and notices, and arranging handoff and retention within their organizational scope. Participants must follow applicable work-location and confidentiality requirements. ForwardCanon remains responsible for the supported access controls and service commitments it agrees to provide. We do not guarantee that arbitrary text can be classified correctly or that information kept outside the agreed scope can be located or recovered.
Removal from a workspace ends the member's authorized access through that workspace; it does not itself delete organizational work records or grant access to a separate private Canon. Retention and authorized reassignment follow the organization's agreed scope and our Privacy Policy. Existing ownership, confidentiality, and third-party rights remain applicable regardless of file placement.
Disputed private records and legal requests
An organization seeking records from a separate private Canon must obtain appropriate authorization or pursue applicable legal process. We do not resolve contested ownership by granting access through customer support. A payment, employment relationship, ownership allegation, or demand letter alone does not authorize disclosure of private records.
We review legal requests for validity, service, jurisdiction, scope, and applicable obligations, obtaining legal advice as needed. We may seek clarification, narrowing, or otherwise respond as permitted by law. Any disclosure is limited to information properly authorized or legally required and does not automatically grant ongoing access to an entire account or private Canon. We cannot promise recovery of records no longer held by us. Preservation and disclosure are separate actions; preserving records does not authorize their release.
6. AI outputs and human decisions
AI can produce inaccurate, incomplete, or outdated output. Canon can also contain errors, unresolved conflicts, and stale sources. Review important conclusions and proposed actions using the relevant evidence and authorized decision-maker. A conversation does not establish a durable save unless the update has been recorded and verified.
You retain your business and personal decision authority. Business forecasts, modeled viability, and proposed improvements are not guarantees of profit, safety, correctness, or any particular outcome. Refusing a recommendation is your choice; it may change the expected results or leave an objective unmet.
ForwardCanon is not a substitute for a licensed legal, tax, investment, medical, or other professional. These limitations do not excuse ForwardCanon from its agreed obligations or authorize actions outside your instructions.
7. Appropriate use and sensitive information
Do not use the service to violate law or others' rights, impersonate others, bypass permissions, access another person's records without authority, distribute malware, or disrupt systems.
The initial pilot scope does not support patient records, clinical case material, payment-card credentials, government identity documents, or other regulated or highly sensitive datasets requiring controls or agreements we have not established. Use synthetic or appropriately de-identified examples until we separately approve the specific data, safeguards, and required agreements. A friendship, subscription, or general acceptance of these Terms is not that approval.
Do not rely on an early pilot for emergency response, safety-critical control, or unattended decisions that could materially affect a person's health, employment, credit, or legal rights.
8. Charges, renewal, cancellation, and refunds
We will confirm the price, billing interval, quantities, included capabilities, and applicable taxes before a purchase. Charges occur only with authorization. Stripe may process payments. Browsing, previews, and unaccepted proposals do not authorize billing.
If you select a recurring subscription, it renews at the disclosed interval until canceled. A pilot or trial is free only when its written offer says so. It does not convert to paid service without a separately disclosed and authorized payment arrangement. A displayed trial invitation does not establish a duration or allowance that has not been agreed.
You may cancel a product subscription through its available billing controls or by emailing cordwilson@forwardcanon.com. A cancellation request received before renewal stops that renewal. Access ordinarily continues until the end of the paid period. We will confirm the cancellation and effective date; our processing delay will not justify a charge after a timely request.
The standard is no prorated refund for voluntarily unused portions of a paid product-subscription period. We will correct duplicate, mistaken, or unauthorized charges. If we discontinue or cannot deliver a material paid service, we will provide an appropriate refund for the undelivered portion. Required statutory refunds and any more favorable written offer remain available.
We will disclose the price and timing of plan changes before applying them. A change does not silently transfer private content or expand permissions. We will give at least 30 days' notice of a recurring-price increase, which applies no earlier than a subsequent renewal, so you can cancel before it takes effect. Failed payments may lead to suspension after notice and a reasonable opportunity to resolve the issue.
Business Control includes its Canon View entitlement; the same included view is not charged again as a standalone add-on. Business Engineer engagements and product subscriptions are separate and independently cancellable under their respective terms.
9. Human assistance and engineering work
Canon Specialist assistance and Business Engineer work are provided only to the extent included in your agreed service. No response-time, uptime, or staffing guarantee applies unless expressly agreed.
Business Engineer setup, retainers, and additional projects require an approved scope or statement of work. The published $1,000 monthly starting retainer is a reference for approximately six implementation hours per quarter, with no rollover, rather than unlimited implementation labor. Your agreement must identify actual capacity, advisory scope, deliverables, exclusions, fees, cancellation, and handoff. Higher retainers and additional work are separately scoped.
The authority sequence is: an engineer proposes, ForwardCanon approves, and you accept. Extra work does not create a binding extra charge without that approval and acceptance, unless already authorized in the existing agreement.
10. Ending service and getting your records
You can stop a pilot or request account closure by email, subject to agreed payment obligations for work already authorized. We may suspend access when reasonably necessary to address a security issue, unlawful activity, or material breach. Where practical, we will explain the issue and allow a reasonable opportunity to resolve it. We may end a pilot or discontinue a service with reasonable notice and the refund treatment described above.
When the corresponding paid access period or agreed pilot ends, access to the affected ForwardCanon agent-initialization service and maintained Shared Canon service ends. Access through that service will be suspended or revoked while confidentiality and applicable source-system protections remain in place. Cancellation does not make shared records public, grant broader access, or authorize deletion of customer-controlled records. Independently granted source-system access must be reviewed separately. Other active subscriptions and users' valid access are handled according to their own scope.
After the final paid access period or agreed pilot ends, you have 30 days to request an export of customer Canon you are entitled to receive, including its supporting data and customer-specific work. This export does not include ForwardCanon product access, Canon View or its product-specific configuration/presentation curation, private implementation, or another party's restricted records. In a manual pilot, export may use a secure file handoff rather than a self-service button. We verify identity and authority and arrange a timely requested export before deleting the affected active content. We will not disclose another person's private content or records you are no longer authorized to access.
Unless a stated legal retention exception applies, affected Canon content is removed from active ForwardCanon-controlled storage within 60 days of closure, and remaining controlled backup copies are removed or expire within 90 days. Ending one product does not close another active service or delete customer Canon still needed for it. The Privacy Policy explains earlier deletion requests and retained-record exceptions.
The Privacy Policy describes deletion, retained records, and backups. Revoking a connection, canceling payment, and requesting deletion are distinct actions. A downgrade does not close an otherwise active service. Records in a source account you control remain subject to that provider's settings and your instructions.
Ownership, confidentiality and data-use restrictions, accrued payment obligations, liability provisions, and provisions that by their nature need to survive remain effective after service ends.
11. Service limitations and responsibility
We will perform agreed human services with reasonable care. Beyond express commitments in an accepted agreement and rights that cannot lawfully be excluded, the early service is provided as available, without additional warranties of uninterrupted operation, error-free output, or fitness for a particular purpose. We will be clear about material limitations known to us.
To the extent permitted by law, neither party is liable under these Terms for indirect or consequential losses, including lost profit or lost business opportunity. ForwardCanon's total liability arising from the service is limited to the greater of $500 or the fees you paid ForwardCanon for the affected service during the 12 months before the event giving rise to the claim.
These exclusions and the cap do not apply to fraud, willful misconduct, gross negligence, or liability that applicable law does not permit us to exclude or limit. Refunds expressly owed under these Terms are not reduced by the cap. Nothing here removes mandatory consumer remedies. An accepted business agreement may expressly set different liability terms.
12. Questions, disputes, and changes
Please contact cordwilson@forwardcanon.com so we can try to resolve a concern directly. This does not limit a filing deadline or your ability to seek urgent relief.
Colorado law governs these Terms, except where applicable law requires otherwise. Disputes may be brought in a court with lawful jurisdiction; mandatory consumer rights and venue protections remain intact. These Terms do not require arbitration or waive participation in a class action.
We will provide reasonable advance notice of material changes and ask for fresh agreement where required. Changes do not retroactively authorize new uses of previously collected personal information or new charges. You may stop using the service before a change takes effect, subject to existing obligations and the cancellation terms.
If a provision is unenforceable, the remainder continues to apply to the extent permitted by law. These Terms and your accepted service documents describe the agreement; informal examples or an agent's unsupported assurances do not amend it.
